1. Introduction

Welcome to Sapphyx.

These Terms of Service (the "Terms") govern your access to and use of the Sapphyx website, applications, APIs, content, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

In these Terms, "Sapphyx," "we," "us," and "our" refer to the Sapphyx service and the people operating it.

If you do not agree to these Terms, you must not use the Service.

2. Additional Terms and Policies

Your use of the Service is also subject to our Privacy Policy and any additional policies, product notices, community standards, feature-specific rules, or supplemental terms that we may make available from time to time. If a feature has additional terms, those terms apply to your use of that feature.

3. Eligibility and Registration

You may use the Service only if you can form a binding agreement under applicable law and are not prohibited from using the Service under applicable law.

You are responsible for ensuring that your use of the Service is lawful where you access it.

If we require you to register for an account, you must provide accurate information, keep that information up to date, and maintain the security of your credentials.

4. Your Account

You are responsible for:

  • safeguarding your account, password, passkeys, authentication codes, and devices;
  • all activity that occurs under your account, whether or not authorized by you, unless applicable law provides otherwise;
  • promptly notifying us if you believe your account has been compromised or used without authorization.

We may require email verification, CAPTCHA completion, multi-factor authentication, or other security steps to create, access, or recover your account.

You must not impersonate another person, create an account using false information, or create accounts in order to evade restrictions, moderation actions, or prior enforcement.

5. What Sapphyx Does

Sapphyx is a community safety and reputation service that may allow users to:

  • search for people using contact methods, usernames, social handles, or other identifiers;
  • post grievances about harmful or unsafe behavior;
  • post affirmations about positive or supportive behavior;
  • comment or respond in contexts enabled by the Service;
  • upload files, images, videos, or documents as evidence or supporting material;
  • verify ownership of identifiers or linked accounts;
  • manage profile visibility, opt-out settings, and account preferences;
  • submit reports, flags, and appeals related to moderation decisions.

The Service may surface sensitive, disputed, incomplete, time-sensitive, or user-generated information. Sapphyx is not a law-enforcement agency, court, emergency-response service, background-check provider, dating platform verifier, employer screening service, or guarantor of any person's conduct, safety, identity, or reputation.

6. User Content and Service Data

When you submit, upload, transmit, display, or otherwise make available any text, files, images, videos, identifiers, profile information, comments, flags, grievances, affirmations, responses, or other material through the Service ("Your Content"), you understand and agree that:

  • you retain ownership of Your Content, subject to the rights you grant in these Terms;
  • you remain solely responsible for Your Content and for the consequences of submitting or sharing it;
  • you must have all rights, permissions, and lawful bases needed to provide Your Content and allow us to use it under these Terms;
  • we may use Your Content to operate, provide, secure, enforce, moderate, improve, develop, and promote the Service, and to develop related features and services;
  • we do not acquire ownership of Your Content merely because you submit it to the Service.

By submitting Your Content, you grant Sapphyx a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, process, adapt, translate, publish, display, distribute, and otherwise use Your Content for the purposes of operating, providing, securing, moderating, enforcing, improving, promoting, and developing the Service and related services. This license continues for as long as necessary to operate the Service and to comply with legal, safety, audit, dispute-resolution, fraud-prevention, backup, and record-retention needs, even if Your Content is later removed from public display or your account is closed.

To the extent Your Content includes personal information, our handling of that information is also subject to the Privacy Policy.

If you submit information about another person, you represent and warrant that your submission is lawful and that you have any consent, permission, authorization, or other lawful basis required under applicable law for that submission. Where consent is not required or is not realistically obtainable for a legitimate safety, reporting, moderation, or public-interest purpose supported by the Service, you represent and warrant that you have another valid legal basis to submit that information.

You must not submit private, sensitive, or identifying information about another person unless it is reasonably relevant to the Service, no broader than necessary, and lawful for you to provide. You remain solely responsible for assessing whether your submission complies with privacy, defamation, harassment, platform, and data-protection laws.

We may, but are not obligated to, review, screen, remove, restrict, redact, de-index, or preserve Your Content.

7. Acceptable Use and Community Rules

You must not use the Service to:

  • violate any law or regulation;
  • defame, harass, threaten, stalk, extort, or abuse others;
  • publish knowingly false, misleading, manipulated, or malicious content;
  • dox, expose, or solicit highly sensitive personal information except where you have consent, another lawful basis, or a clear Service-supported safety justification, and even then only to the minimum extent reasonably necessary;
  • post sexual content involving minors, exploitative content, or unlawful intimate imagery;
  • submit spam, coordinated inauthentic activity, mass-generated content, or commercial solicitation;
  • probe, scan, scrape, overload, interfere with, or disrupt the Service or its infrastructure;
  • bypass rate limits, security features, moderation tools, or access controls;
  • use another person's identifiers, verification codes, or account credentials without authorization;
  • use the Service to make decisions that have legal or similarly significant effects on a person in a way prohibited by law.

Because Sapphyx deals with sensitive reputation and safety issues, you must take special care to submit only information that you honestly believe is accurate, fairly characterized, and relevant. You must not weaponize the Service to intimidate, retaliate, manipulate, shame, or target others.

8. Identity Claims and Linked Accounts

The Service may allow you to claim or verify ownership of contact methods, social handles, usernames, or other identifiers.

When you submit a claim or verification request, you represent and warrant that:

  • the identifier belongs to you or you are authorized to act for its owner;
  • any proof, bio code, screenshots, profile changes, or linked-account evidence you provide is authentic and not misleading;
  • you will not attempt to claim identifiers that do not belong to you.

We may approve, reject, invalidate, revoke, or require renewed verification of any claim at any time.

9. Moderation, Enforcement, and Appeals

We may monitor, review, investigate, and take action regarding accounts, content, identifiers, searches, uploads, flags, claims, and other activity to protect users, the Service, and the public interest.

Without limiting any other rights, we may:

  • remove or restrict content;
  • hide content from search or profile views;
  • annotate content with warnings;
  • throttle or block certain actions;
  • suspend search, posting, commenting, profile editing, login, or other capabilities;
  • revoke or invalidate identifier claims;
  • suspend or terminate accounts;
  • preserve records for safety, legal, or investigative reasons.

We may, but are not required to, provide notice or an opportunity to appeal. Where the Service provides an appeal mechanism, using it does not guarantee reversal of any moderation decision.

10. Opt-Out and Visibility Controls

The Service may allow a person or user to opt out of certain visibility or search features. Opt-out is a feature of the Service, not a guarantee of complete deletion, complete invisibility, or freedom from internal retention.

Even where content or records are hidden from some public views, Sapphyx may retain related information for moderation, abuse prevention, legal compliance, dispute handling, auditing, security, and service integrity.

Sapphyx may also display that a person has opted out, limited visibility, or otherwise changed their public availability within the Service.

11. Third-Party Services and External Content

The Service may rely on or link to third-party services, including cloud storage, authentication providers, CAPTCHA services, analytics or security tools, social platforms, app stores, email providers, or external websites. We do not control and are not responsible for third-party services or content.

Your use of third-party services may be subject to separate terms and privacy policies.

12. Intellectual Property

The Service, including its software, design, branding, text, graphics, interfaces, compilations, and non-user-generated content, is owned by Sapphyx or its licensors and is protected by intellectual property and other laws.

Except as expressly permitted by these Terms or applicable law, you must not copy, modify, distribute, sell, lease, reverse engineer, decompile, extract source code from, or create derivative works based on the Service.

13. Feedback

If you provide suggestions, ideas, feedback, bug reports, or proposals relating to the Service ("Feedback"), you grant Sapphyx a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free right to use that Feedback for any purpose without restriction or compensation to you.

14. Service Availability and Changes

We may modify, suspend, discontinue, or restrict all or part of the Service at any time, with or without notice, to the extent permitted by applicable law.

We do not guarantee that the Service, any feature, or any content will always be available, accurate, complete, secure, or error-free.

15. Disclaimers

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

To the maximum extent permitted by law, Sapphyx disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and that the Service will be uninterrupted, secure, or free of harmful components.

User-generated content may be false, incomplete, misleading, offensive, defamatory, outdated, or unlawful. You are solely responsible for how you interpret and use information from the Service.

16. Limitation of Liability

To the maximum extent permitted by law, Sapphyx and its operators, contributors, service providers, licensors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunities, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of Sapphyx and its operators, contributors, service providers, licensors, and representatives for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:

  • the amount you paid to Sapphyx, if any, for the Service in the 12 months before the event giving rise to the claim; or
  • USD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnity

To the maximum extent permitted by law, you will indemnify, defend, and hold harmless Sapphyx and its operators, contributors, service providers, licensors, and representatives from and against claims, liabilities, damages, judgments, losses, and expenses, including reasonable legal fees, arising out of or related to:

  • Your Content;
  • your use of the Service;
  • your violation of these Terms;
  • your violation of any law or the rights of any person or entity.

18. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we believe you have violated these Terms, created risk or possible legal exposure, harmed users or third parties, interfered with the Service, or if we discontinue the Service.

Sections that by their nature should survive suspension or termination will survive, including sections relating to licenses, intellectual property, disclaimers, limitations of liability, indemnity, dispute resolution, and retained records.

19. Governing Law and Dispute Resolution

These Terms are intended to apply globally, but the governing law and dispute-resolution rules may vary depending on where you live and mandatory local law.

Unless otherwise required by applicable law, these Terms are governed by the laws of the jurisdiction designated by Sapphyx in a future legal notice or service update, without regard to conflict-of-law rules.

If mandatory law in your place of residence gives you additional rights or requires a different dispute forum, those mandatory rules will apply to that extent.

If we later publish a jurisdiction-specific dispute-resolution clause, arbitration clause, or small-claims procedure for your region, that clause will apply prospectively to the extent permitted by law.

20. General

  • We may update these Terms from time to time. If we make material changes, we may provide notice through the Service or by other reasonable means. Your continued use of the Service after the effective date of updated Terms means you accept the updated Terms, to the extent permitted by law.
  • If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • Our failure to enforce any provision is not a waiver.
  • You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms as part of a reorganization, transfer of the Service, or similar transaction.
  • These Terms constitute the entire agreement between you and Sapphyx regarding the Service, except for any supplemental terms that apply to particular features.

21. Regional Addendum

A. European Union, United Kingdom, and Switzerland

If you are located in the European Union, United Kingdom, or Switzerland, nothing in these Terms limits any non-waivable consumer rights you have under applicable law.

Where local law requires pre-contract information, withdrawal rights, local consumer guarantees, or statutory remedies, those rights apply in addition to these Terms.

B. United States

If you are located in the United States, some states may not allow certain warranty disclaimers, liability limitations, or indemnity provisions. In those states, those provisions apply only to the extent permitted by law.

C. Australia, New Zealand, Singapore, and Other Consumer-Law Jurisdictions

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, statutory warranty, or other right that cannot lawfully be excluded, restricted, or modified.

D. Mainland China, Hong Kong SAR, Macao SAR, and Taiwan Region

Because the Service may involve social identifiers, user reports, affirmations, and uploaded materials, you must comply with local laws regarding privacy, defamation, cybersecurity, data protection, and online publication.

If local law requires additional notices, consents, operator disclosures, data-localization measures, or complaint-handling mechanisms, Sapphyx may publish supplemental regional rules or policies for those users.
